Terms of Service

These Terms of Service govern the relationship between customers and GST Organization d.b.a. DBA SaaS regarding use of services at our website and related domains.
1. License
1.1 Grant of License. DBA SaaS grants you a limited, non-exclusive, non-transferable license to access service features and install client software for internal business purposes, in accordance with provided documentation.
1.2 Access; Limitations. Administrative users may create individual user accounts (team accounts prohibited). Users must maintain accurate account information, keep passwords confidential, and report unauthorized access promptly. Customers bear sole responsibility for account usage.
1.3 Restrictions. Prohibited activities include: assigning or sublicensing the service; using it for unauthorized purposes; creating derivative works; reverse engineering; allowing unauthorized third-party access; disrupting service integrity; conducting unauthorized testing; developing competing products; or circumventing account limitations.
1.4 Open Source Software. The service may contain open source components licensed separately under their respective end-user licenses, which are not superseded by this agreement.
1.5 Retained Rights. DBA SaaS retains all rights, title, and interest in the service and client software not expressly granted herein.
2. Intellectual Property
DBA SaaS retains ownership of all intellectual property in the service. DBA SaaS trademarks remain our exclusive property. You retain all rights to your data and database content.
3. Use
3.1 Data Privacy. Customers must ensure all data usage complies with applicable data protection laws, including GDPR. Customers must obtain necessary consents and implement appropriate security measures. Data breaches must be reported immediately.
3.2 Feedback. Any comments, ideas, and/or reports you provide regarding the Service will be considered DBA SaaS's proprietary and confidential information. DBA SaaS owns all feedback and may use it freely without attribution.
3.3 Excluded Countries. Customers cannot register or use the service if they violate U.S. export laws, appear on the Commerce Department's Denied Persons List, Unverified List, Treasury's Specially Designated Nationals List, or State Department's Debarred List. Violations result in immediate account termination.
3.4 Regulated Data. The service cannot be used for: protected health information (PHI); HIPAA-regulated activities; or payment card industry data (PCI DSS). The service is not designed for users under 16 years old.
3.5 Security. DBA SaaS maintains reasonable administrative, physical, and technical security measures. We will notify customers within 24 hours of unauthorized account access and investigate breaches.
4. Disclaimers; Limitation of Liability
4.1 General Disclaimer. DBA SaaS warrants the service performs substantially per documentation; exclusive remedy for breach is correction or termination. The service is provided "as is," "as available," and "with all defects." We disclaim warranties of merchantability, fitness, data accuracy, title, non-infringement, and quiet enjoyment.
4.2 Limitation of Liability. In no event will either party be liable for any incidental, indirect, special, consequential, or punitive damages. Total liability is capped at amounts paid in the preceding 12 months.
4.3 No Professional Advice. Service information is for informational purposes only and does not replace professional advice. DBA SaaS disclaims liability for diagnoses or actions arising from service information. Always review AI recommendations before applying them to production systems.
5. Service Level Agreement
5.1 Uptime Commitment. DBA SaaS commits to 99.99% monthly uptime for paid plans. Monthly Uptime Percentage excludes scheduled maintenance announced 48+ hours in advance and downtime periods under 5 consecutive minutes.
5.2 Service Credits. Credits apply if uptime falls below commitment: below 99.99% but above 99.9% — 10% credit; below 99.9% but above 99.0% — 20% credit; below 99.0% — 50% credit. Credits must be requested within 30 days, apply to future invoices only, and are the exclusive remedy.
5.3 Exclusions. The uptime commitment does not apply to alpha/beta/preview features, third-party outages, customer infrastructure issues, or free plans.
6. Termination
Either party may terminate with 30 days' notice. DBA SaaS may terminate immediately for material breaches uncured within 15 days. Upon termination, customers may export data within 30 days in standard format. Data is deleted after 30 days unless retention is legally required.
7. Confidentiality
Both parties acknowledge that confidential information may be disclosed during performance. Neither party may disclose or use the other's confidential information except as permitted. Exclusions apply to publicly available information, independently obtained information, pre-existing information, and independently developed information.
8. Indemnification
8.1 By Customer. Customers indemnify DBA SaaS from third-party claims arising from customer's use of the service or agreement breaches, covering damages, judgments, liabilities, fines, penalties, and reasonable attorney fees.
8.2 By DBA SaaS. DBA SaaS defends customers from third-party copyright infringement claims regarding the service and indemnifies against awarded losses. DBA SaaS has no obligation for infringement arising from service misuse, use with non-DBA SaaS products, or open source software.
9. Force Majeure
Neither party is liable for delays or failures caused by labor strikes, war, civil unrest, natural disasters, or similar uncontrollable circumstances.
10. Governing Law
This agreement is governed by California law without regard to conflict principles. Exclusive jurisdiction lies with California state and federal courts.
11. General Terms
DBA SaaS may add customer names and logos to its customer list and website unless customers opt out in writing. We may update these terms from time to time. Continued use of the service constitutes acceptance of updated terms. Material changes will be communicated via email.
